The Information Technology Act, 2000 (IT Act) explicitly provides that electronic signatures are legally equivalent to handwritten signatures for the purposes of contract formation and authentication. The legal framework governing electronic signatures in India has been in place for over two decades, and the body of case law and regulatory guidance around it has grown substantially in that time.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"15:1-15:454;866-1319\">But the answer to &#8220;are e-signatures legally binding&#8221; is not a simple yes or no. The legal validity of an electronic signature depends on the type of electronic signature used, whether the relevant requirements of the IT Act are met, and whether the document in question is one that the law requires to be executed in a specific form. Understanding these distinctions is practical for anyone signing or receiving electronically signed documents in India.<\/p>\n<h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"17:1-17:37;1321-1357\">The Legal Framework: IT Act, 2000<\/h2>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"19:1-19:428;1359-1786\">Section 5 of the Information Technology Act, 2000 is the foundational provision. The two main forms recognised are:<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"25:1-25:245;2222-2466\"><strong>Digital Signatures<\/strong> based on public key infrastructure, issued by licensed Certifying Authorities under the IT Act. A Digital Signature Certificate (DSC) issued by a licensed CA constitutes a digital signature for the purposes of the IT Act.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"27:1-27:299;2468-2766\"><strong>Aadhaar eSign<\/strong>, which allows individuals to sign documents using their Aadhaar number and authentication through OTP or biometrics. Aadhaar eSign is provided through licensed Electronic Signature Service Providers authorised under the eSign (Third Party) Application Service Provider Guidelines.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"29:1-29:151;2768-2918\">Both of these forms are specifically recognised by the IT Act and produce electronic signatures that are legally equivalent to handwritten signatures.<\/p>\n<h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"31:1-31:61;2920-2980\">What Makes an Electronic Signature Valid Under Indian Law<\/h2>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"33:1-33:125;2982-3106\">For an electronic signature to be legally valid under the IT Act, it must satisfy the requirements of Section 3A of the Act:<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"35:1-35:142;3108-3249\"><strong>It must be unique to the person signing.<\/strong> The electronic signature must be linked to the signatory in a way that uniquely identifies them.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"37:1-37:142;3251-3392\"><strong>It must be capable of identifying the signatory.<\/strong> The signature must be capable of establishing the identity of the person who applied it.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"39:1-39:176;3394-3569\"><strong>It must be created in a manner that is under the sole control of the signatory.<\/strong> At the time of signing, only the signatory must have access to the signature creation data.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"41:1-41:241;3571-3811\"><strong>It must be linked to the electronic record in a manner that any subsequent alteration to the record is detectable.<\/strong> After the signature is applied, any change to the document must be detectable through the signature verification process.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"43:1-43:309;3813-4121\">These requirements are fully satisfied by DSC-based signatures and Aadhaar eSign. A basic electronic signature, such as a typed name, a scanned signature image, or a click-to-accept confirmation, does not inherently satisfy all of these requirements and has weaker legal standing than a DSC or Aadhaar eSign.<\/p>\n<h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"45:1-45:68;4123-4190\">Types of Electronic Signatures in India and Their Legal Standing<\/h2>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"47:1-47:559;4192-4750\"><strong>Digital Signature Certificate (DSC).<\/strong> Issued by licensed Certifying Authorities under the IT Act, a DSC uses public key cryptography to create a signature that uniquely identifies the signatory, is unforgeable without access to the private key, and detects any post-signing alterations to the document. A DSC is the most legally robust form of electronic signature in India. It is mandatory for company filings with the Ministry of Corporate Affairs, income tax returns above certain thresholds, customs filings, and several other regulatory applications.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"49:1-49:428;4752-5179\"><strong>Aadhaar eSign.<\/strong> Authentication through Aadhaar-linked OTP or biometrics, provided by a licensed eSign Service Provider. Aadhaar eSign is widely used in financial services, insurance, and digital lending for consumer-facing agreements. It satisfies the IT Act requirements and is legally equivalent to a handwritten signature. It is particularly practical because it does not require the signatory to obtain and manage a DSC.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"51:1-51:610;5181-5790\"><strong>Basic electronic signature.<\/strong> A typed name, a scanned signature image, a click-to-agree, or a signature drawn using a mouse or finger. These forms are electronic signatures in the broad sense but do not satisfy the specific authentication requirements of the IT Act that apply to recognised electronic signatures. They may be legally valid for certain purposes under the general law of contracts (since the Indian Contract Act does not require signatures to be handwritten or authenticated in any particular way), but their evidentiary weight in a dispute is significantly lower than a DSC or Aadhaar eSign.<\/p>\n<h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"53:1-53:46;5792-5837\">Documents That Cannot Be E-Signed in India<\/h2>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"55:1-55:251;5839-6089\">Despite the broad legal recognition of electronic signatures in India, certain categories of documents are explicitly excluded from the IT Act&#8217;s scope. Section 1(4) and the First Schedule to the IT Act exclude the following from the Act&#8217;s provisions:<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"57:1-57:138;6091-6228\"><strong>Negotiable instruments<\/strong> other than cheques, including bills of exchange and promissory notes. These typically require registration, which implies physical execution.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"61:1-61:45;6398-6442\"><strong>Trust deeds<\/strong> under the Indian Trusts Act.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"63:1-63:48;6444-6491\"><strong>Wills<\/strong> and any other testamentary documents.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"65:1-65:222;6493-6714\"><strong>Contracts for the sale or conveyance of immovable property<\/strong> or any interest in immovable property. Sale deeds, gift deeds, and mortgage deeds must be executed physically and registered under the Registration Act, 1908.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"67:1-67:211;6716-6926\">For these categories of documents, wet ink signatures on physical documents remain mandatory. An electronic signature applied to a document in one of these categories does not produce a legally valid execution.<\/p>\n<h2 class=\"text-text-100 mt-3 -mb-1 text-[1.125rem] font-bold\" data-sourcepos=\"69:1-69:32;6928-6959\">Sector-Specific Requirements<\/h2>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"71:1-71:146;6961-7106\">Beyond the IT Act&#8217;s general framework, specific regulatory bodies have issued guidance or requirements on electronic signatures in their sectors.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"73:1-73:285;7108-7392\"><strong>RBI Digital Lending Directions.<\/strong> The RBI&#8217;s Digital Lending Directions (May 2025) require that loan kits and Key Fact Statements be digitally signed and electronically transmitted to borrowers. These provisions effectively mandate electronic signature workflows for digital lenders.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"75:1-75:214;7394-7607\"><strong>IRDAI.<\/strong> Insurance documents including policy documents and proposal forms are accepted in electronic form. IRDAI has issued guidelines on electronic insurance and e-policies that recognise electronic execution.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"77:1-77:137;7609-7745\"><strong>SEBI.<\/strong> SEBI allows electronic signatures for certain regulatory filings and disclosures by listed entities and market intermediaries.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\" data-sourcepos=\"79:1-79:207;7747-7953\"><strong>Companies Act, 2013.<\/strong> Company filings with the Ministry of Corporate Affairs must be digitally signed by the relevant signatories using DSCs.
