LLPs are registered with the Ministry of Corporate Affairs. LLP registration process is similar to that of a Private Limited Company Incorporation process, via obtaining Digital Signature Certificate for the Partners, obtaining Designated Partner Identification Number (DPIN) for the Partners, obtaining name approval from MCA, obtaining Incorporation Certificate and filing LLP Agreement.<\/p>\n<p>Although the processes are ostensibly similar there are certainly other important distinctions. Private limited company registration\u00a0is executed\u00a0according to Companies Act, 2013 and is registered with Registrar of Companies. However,\u00a0LLP registration\u00a0is done\u00a0according to the Limited Liability Partnership Act, 2008 and is registered with Registrar of LLP. A DIN (Director Identification Number) is required for the registration of Private Limited Company. However, a DPIN (Designated Partner Identification Number) is required in case of a Limited Liability Partnership. The other rules followed by both the companies are according to their respective Acts also.<\/p>\n<h2 id=\"\" class=\"mb-2 mt-4 text-base font-[475] first:mt-0 md:text-lg dark:font-[450] [hr+&amp;]:mt-4\"><strong>Taxation of LLPs in India<\/strong><\/h2>\n<p>For income tax purpose, LLP is treated on a par with partnership firms. Thus, LLP is liable for payment of income tax and share of its partners in LLP is not liable to tax. Thus no dividend distribution tax is payable. Provision of \u2018deemed dividend\u2019 under income tax law, is not applicable to LLP. Section 40(b): Interest to partners, any payment of salary, bonus, commission or remuneration allowed as deduction.<\/p>\n<h3>LLP treated like a partnership under Income Tax Act<\/h3>\n<p>An LLP requires a minimum 2 partners while there is no limit on the maximum number of partners; this is in contrast to a private limited company wherein there is a restriction of not having more than 200 members.<\/p>\n<h3>No Dividend Distribution Tax (DDT)<\/h3>\n<p>Private limited companies are liable to pay tax on the earnings (income) of the company. Then there is a dividend distribution tax and an alternative minimum tax also. Hence in the case of a company, for example, the owners need to withdraw profits from the company, then in this situation, an additional tax liability in the form of DDT @ 15% (plus surcharge &amp; education cess) is payable by the company.
